Terms of Service

OnyxPlay is a wholesale B2B IPTV delivery platform operated by Esto Networks, a company incorporated in India. These Terms constitute a legally binding agreement between you (the entity accessing or using the platform) and Esto Networks.

These Terms apply to all visitors to the onyxplay.tv website and to all partner entities who access the OnyxPlay platform under a separate Partner Agreement. Where a Partner Agreement exists, its terms prevail over these Terms to the extent of any inconsistency.

References to "platform" include the OnyxPlay middleware, EPG, subscriber management system, CDN edge appliance software, and any APIs or portals made available by Esto Networks.

The OnyxPlay platform is available exclusively to licensed Internet Service Providers (ISPs), Local Cable Operators (LCOs) partnered with a licensed ISP, and other entities operating under a valid licence issued by the Department of Telecommunications or the Ministry of Information and Broadcasting of India.

By using the platform, you represent and warrant that:

• You are a duly authorised representative of a legal entity.
• Your entity holds all licences and regulatory approvals required to operate an IPTV service in your jurisdiction.
• You have the authority to bind your entity to these Terms.
• You are not a consumer purchasing IPTV services for personal use.

Esto Networks reserves the right to verify eligibility at any time and to suspend or terminate access if eligibility requirements are not met.

Partner portal credentials are issued by Esto Networks following execution of a Partner Agreement. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at support@onyxplay.tv of any unauthorised access or suspected compromise of your account.

You may not share, transfer, or sublicense access credentials to any third party without prior written approval from Esto Networks.

Subject to your compliance with these Terms and any applicable Partner Agreement, Esto Networks grants you a limited, non-exclusive, non-transferable licence to access and use the OnyxPlay platform solely for the purpose of delivering licensed IPTV content to your authorised end subscribers within India.

This licence does not permit redistribution, resale, or sublicensing of the platform or any content delivered through it except as expressly permitted under your Partner Agreement.

You must not, and must not permit any third party to:

• Circumvent, disable, or tamper with DRM systems, watermarking, or access controls.
• Redistribute, retransmit, or re-broadcast any content stream without authorisation.
• Reverse-engineer, decompile, or attempt to extract source code from the platform.
• Use the platform to deliver content outside the territory of India.
• Introduce malware, viruses, or any code designed to disrupt platform operations.
• Scrape, harvest, or systematically copy data from the platform or APIs.
• Misrepresent your identity, subscriber count, or licence status to Esto Networks.

All intellectual property rights in the OnyxPlay platform, middleware, software, documentation, trademarks, and website content are owned by or licensed to Esto Networks. Nothing in these Terms transfers any intellectual property rights to you.

Content delivered through the platform (channels, programmes, EPG data) is licensed by Esto Networks from broadcasters under separate agreements. Your right to access such content is contingent on Esto Networks maintaining those agreements and on your compliance with these Terms.

Feedback, suggestions, or technical reports you provide to Esto Networks may be used by us without restriction and without compensation to you.

"Confidential Information" means any non-public technical, commercial, or operational information disclosed by either party in connection with the platform, including pricing, architecture documentation, broadcaster agreements, and subscriber data.

Each party agrees to hold Confidential Information in strict confidence, to use it only for the purposes permitted under these Terms, and not to disclose it to any third party without prior written consent. This obligation survives termination of these Terms for a period of five (5) years.

Commercial terms — including wholesale content fees, subscriber-based pricing, and any one-time integration charges — are set out in your Partner Agreement. The Partner Agreement supersedes any indicative pricing shown on this website.

Invoices are payable within 30 days of issuance unless otherwise specified. Late payments accrue interest at 1.5% per month. Esto Networks reserves the right to suspend platform access for accounts with overdue balances exceeding 15 days.

All fees are exclusive of applicable taxes (GST and others). Each party is responsible for its own tax obligations.

Esto Networks targets 99.5% monthly uptime for the headend and DRM infrastructure. Specific SLA commitments, credit mechanisms, and measurement methodologies are defined in your Partner Agreement.

Scheduled maintenance windows will be communicated at least 72 hours in advance. Emergency maintenance required to address security incidents or broadcaster-mandated changes may be performed without advance notice. Platform availability does not guarantee availability of any specific channel or content — broadcaster feed issues, force majeure events, and government directives are outside our control.

To the fullest extent permitted by applicable law, Esto Networks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, arising out of or in connection with these Terms or your use of the platform.

Esto Networks' total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless Esto Networks and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights in connection with your use of the platform.

Either party may terminate the platform relationship on 30 days' written notice. Esto Networks may suspend or terminate access immediately if you breach these Terms, fail to maintain required licences, or become insolvent.

On termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including Confidentiality, Intellectual Property, Limitation of Liability, and Governing Law — shall survive.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts at Chandigarh, Union Territory of Chandigarh, India.

The parties waive any objection to the venue of such proceedings. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Esto Networks may update these Terms from time to time. Material changes will be communicated to registered partners via email at least 15 days before taking effect. Continued use of the platform after the effective date of any change constitutes acceptance of the revised Terms.
